Platform Terms of Use for Buyers and Sellers

1. About These Terms
These Terms of Service (“Terms”) form a legally binding agreement between you and Yadsale Technologies (“Yadsale”, “we”, “us”, or “our”), a company incorporated in Nigeria under the Companies and Allied Matters Act (CAMA). By creating an account or using the Yadsale platform, you confirm that you have read, understood, and agreed to these Terms in full.
If you do not agree to these Terms, you must not use our platform.
These Terms should be read alongside our Privacy Policy, Buyer Protection Policy, Return & Refund Policy, Fees & Payments Policy, and Prohibited Items & Listing Guidelines, all of which form part of your agreement with us.
1.1 Definitions
Throughout these Terms, the following expressions have the meanings set out below:
- “Platform” the Yadsale website, mobile application, and all associated services.
- “User” any individual who registers for or accesses the Platform, whether as a buyer, seller, or both.
- “Seller” a User who lists one or more items for sale on the Platform.
- “Buyer” a User who purchases an item listed on the Platform.
- “Listing” a product or item posted for sale by a Seller on the Platform.
- “Transaction” a completed sale of an item from a Seller to a Buyer on the Platform, also referred to as a “Yadsale”.
- “SafePay” Yadsale’s escrow-backed payment mechanism by which a Buyer’s payment is held by our licensed Payment Processor until the Transaction is confirmed or a dispute is resolved.
- “Payment Processor” the licensed third-party payment service provider engaged by Yadsale to process payments and hold funds on behalf of Users. Yadsale does not hold User funds directly.
- “Delivery Partner” a third-party logistics provider made available to Users through the Yadsale platform via our logistics aggregation integration.
1.2 Eligibility
To use the Platform, you must:
- be at least 13 years old;
- if you are between 13 and 17 years old, have the consent of a parent or legal guardian to use this Platform and to enter into transactions;
- be capable of entering into a legally binding agreement under Nigerian law, or acting with the consent of someone who is;
- not be prohibited from using our services under any applicable law.
By creating an account, you confirm that you meet these requirements. Users aged 13 to 17 represent that they have obtained the required parental or guardian consent. Yadsale reserves the right to suspend or remove accounts where eligibility cannot be confirmed.
2. The Yadsale Marketplace
Yadsale operates as a marketplace that connects independent Buyers and Sellers. We are not a party to the sale contract between a Buyer and a Seller. The contract for the sale of any item is formed directly between the Buyer and the Seller.
Yadsale’s role is to:
- provide the Platform through which Listings are made and Transactions are completed;
- facilitate payment through SafePay;
- provide access to Delivery Partners;
- mediate disputes where they arise and issue binding decisions in accordance with our Buyer Protection Policy.
Yadsale does not manufacture, inspect, own, or take title to any items listed on the Platform. We make no warranties as to the quality, safety, legality, or accuracy of any Listing, except where otherwise stated in our Buyer Protection Policy.
3. Accounts
3.1 Registration
To use the Platform, you must create an account by providing basic profile information and verifying your identity through our verification process at signup. You are responsible for the accuracy of the information you provide.
You are responsible for keeping your login credentials confidential. You must notify us immediately at contact@yadsale.com if you suspect unauthorised access to your account.
3.2 One Account Per Person
Each User may maintain only one account. Creating duplicate or fraudulent accounts is a breach of these Terms and may result in permanent suspension.
3.3 Account Suspension and Termination
Yadsale reserves the right to suspend or permanently terminate an account where a User:
- breaches any provision of these Terms or any associated policy;
- provides false or misleading information;
- engages in fraudulent, abusive, or harmful conduct;
- accumulates an unreasonable pattern of upheld disputes or rejected Listings as a Seller.
Where suspension is applied, the User may appeal through the process set out in our Account Suspension & Appeals Policy. Termination decisions are final.
4. SafePay — How Payments Work
All Transactions on the Yadsale Platform must be completed through SafePay. Off-platform payments are not permitted and will not be covered by our Buyer Protection Policy.
4.1 How SafePay Works
- 1The Buyer initiates payment for an item through the Platform at checkout.
- 2Payment is processed and held securely by our Payment Processor, a CBN-licensed payment service provider. Yadsale does not hold User funds directly.
- 3The Seller is notified to dispatch the item once payment is confirmed as held.
- 4Upon delivery, the Buyer inspects the item on the order details page and has 24 hours to accept or reject it.
- 5If the Buyer actively accepts the item on the order details page, funds are immediately released to the Seller.
- 6If the 24-hour window expires without any action from the Buyer, funds are automatically released to the Seller.
- 7If the Buyer rejects the item within the 24-hour window, the dispute process is initiated as described in our Buyer Protection Policy.
4.2 Auto-Acceptance
Important: If you do not accept or reject your item within 24 hours of delivery being marked as completed, your silence will be treated as acceptance and funds will be automatically released to the Seller. This window cannot be extended after it expires.
4.3 Late Complaints After Auto-Acceptance
If an item has been auto-accepted and you subsequently discover a defect, you may still contact us through the in-app support page. While we cannot guarantee a refund in these circumstances — as funds will already have been released to the Seller — we will review honest and sincere complaints and make reasonable efforts to facilitate a resolution where the issue is genuine.
4.4 Fees
A service fee is charged on each Transaction. The applicable fees are displayed clearly at checkout before you complete a purchase or sale. Fees are non-refundable except in circumstances set out in our Fees & Payments Policy.
5. Sellers
5.1 Seller Obligations
As a Seller, you agree to:
- list only items you own or have the legal right to sell;
- provide accurate, complete, and honest descriptions of every item;
- upload images that accurately represent the exact item being sold;
- dispatch items promptly once a SafePay Transaction is confirmed;
- comply with our Prohibited Items & Listing Guidelines.
5.2 Seller Liability
Sellers are fully responsible for the accuracy of their Listings. Where a dispute is upheld against a Seller due to an item being materially different from its Listing, the Seller will be liable for a refund to the Buyer and, in certain circumstances, for delivery costs as set out in our Return & Refund Policy.
6. Buyers
As a Buyer, you agree to:
- inspect items promptly on delivery and reject within the 24-hour window if there is a genuine issue;
- provide accurate delivery information;
- not raise fraudulent or vexatious complaints;
- return items in the condition received when a return is approved under our Return & Refund Policy.
7. Delivery
Delivery is facilitated through Delivery Partners available via our logistics aggregation integration. Yadsale presents Users with delivery options including estimated times and costs. The contract for delivery is between the relevant parties and the selected Delivery Partner.
Yadsale is not liable for delays, damage, or loss caused by Delivery Partners. However, where damage in transit is subject to a dispute, Yadsale will assess available evidence and may facilitate a resolution in accordance with our Buyer Protection Policy.
8. Prohibited Conduct
Users must not:
- list prohibited items as defined in our Prohibited Items & Listing Guidelines;
- conduct or attempt to conduct transactions outside the Platform to circumvent SafePay;
- engage in fraud, misrepresentation, or identity deception;
- harass, threaten, or abuse other Users or Yadsale staff;
- list counterfeit goods or items that infringe intellectual property rights;
- manipulate reviews, ratings, or the dispute process;
- use automated tools or bots to scrape, access, or interfere with the Platform.
9. Yadsale’s Liability
To the maximum extent permitted by Nigerian law, Yadsale’s total liability to you for any claim arising out of or in connection with these Terms or your use of the Platform shall not exceed the total fees paid by you to Yadsale in the three months preceding the claim.
Yadsale is not liable for:
- the conduct, acts, or omissions of any Seller or Buyer;
- loss of items, damage in transit, or fulfilment failures by Delivery Partners;
- any indirect, consequential, or economic loss;
- Platform unavailability due to maintenance or events outside our control.
Nothing in these Terms limits Yadsale’s liability for fraud, death, or personal injury caused by our negligence, or any liability that cannot be excluded by Nigerian law.
10. Intellectual Property
All content on the Platform, including the Yadsale name, logo, design, and software, is the intellectual property of Yadsale Technologies. You may not reproduce, distribute, or create derivative works from our content without prior written consent.
By uploading content to the Platform, you grant Yadsale a non-exclusive, royalty-free licence to use, display, and promote that content in connection with our services.
11. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be subject to the jurisdiction of the courts of Lagos State, Nigeria.
Where a dispute arises between a User and Yadsale, we encourage you to contact us first at contact@yadsale.com. We will make reasonable efforts to resolve disputes informally before any formal proceedings.
12. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will notify you by email or via in-app notification at least 14 days before the changes take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.
